Terms of Service

1. Service Description

SEO Toolkit provides free and paid online tools for search engine optimization, including but not limited to: meta tag generation, AI visibility analysis, schema markup generation, heading analysis, keyword density checking, Open Graph previewing, robots.txt generation, LLMs.txt generation, canonical tag checking, and site auditing.

Our AI-powered tools use third-party language models (such as OpenAI) to generate suggestions and analysis. These outputs are provided as recommendations and should not be considered professional SEO advice. Results may vary and we do not guarantee specific search engine rankings or outcomes.

2. Account Registration

Certain features of the Service require you to create an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these terms, engage in abusive behavior, or remain inactive for an extended period.

3. Free and Paid Plans

Free Tier: Registered users receive a limited number of AI-powered tool uses per day (currently 3 per day). Client-side tools (Heading Analyzer, Keyword Density, Robots.txt Generator, and others) have no usage limits. We reserve the right to adjust free tier limits at any time.

Pro Plan ($5/month): Unlimited AI-powered tool usage using your own OpenAI API key. You are responsible for any costs incurred with your API key provider.

Premium Plan ($10/month): Unlimited AI-powered tool usage using our API key. All AI processing costs are covered by us.

4. Billing and Payments

Paid subscriptions are billed monthly through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Price Changes: We may change subscription prices with 30 days' notice. Existing subscribers will be notified by email before any price increase takes effect.
• Taxes: Prices are exclusive of applicable taxes. You are responsible for any taxes associated with your subscription.

5. Cancellation and Refunds

You may cancel your subscription at any time through your Stripe billing portal or by contacting us at our support page. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• No further charges will be made after the current period ends
• Your account will revert to the Free tier at the end of the billing period

Refund Policy: We offer a full refund within 7 days of your first subscription payment if you are not satisfied with the Service. After the 7-day period, refunds are provided at our sole discretion. To request a refund, contact us through our support page.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to our systems, other user accounts, or third-party services
• Use automated scripts, bots, or scrapers to access the Service in a manner that exceeds reasonable use
• Reverse-engineer, decompile, or attempt to extract the source code of our proprietary tools
• Resell, redistribute, or sublicense access to the Service without our written consent
• Overload or interfere with the Service's infrastructure or performance
• Circumvent rate limits, authentication mechanisms, or usage restrictions

We reserve the right to suspend or terminate access for any user who violates these terms, with or without prior notice.

7. Intellectual Property

Our Content: The Service, including its design, code, text, graphics, logos, and documentation, is owned by SEO Toolkit and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary materials without written permission.

Your Content: You retain full ownership of any content you input into our tools (URLs, text, keywords, etc.) and any output generated for you. We do not claim any rights to your inputs or outputs.

AI-Generated Content: Outputs from our AI-powered tools are generated using third-party AI models. You are free to use these outputs for any lawful purpose. However, we make no representations regarding the originality or copyright status of AI-generated content, and you are responsible for ensuring your use complies with applicable laws.

8. Third-Party API Keys

Pro plan users may provide their own OpenAI API key to use our AI-powered tools. By doing so, you:

• Acknowledge that API requests are made directly to OpenAI using your key
• Accept responsibility for any costs incurred with OpenAI
• Agree that your API key is transmitted securely and is never stored on our servers
• Understand that we are not responsible for any issues arising from your API key usage, including billing disputes with OpenAI

9. Data and Privacy

Your privacy is important to us. We collect and process personal data as follows:

• Account Data: Email address and authentication credentials, stored securely via Supabase
• Usage Data: Tool usage history (tool type, input previews, results) to provide your request history feature
• Payment Data: Processed entirely by Stripe. We do not store credit card numbers or payment details on our servers
• Analytics: We may use anonymized analytics to improve the Service

We do not sell, rent, or share your personal data with third parties for marketing purposes. Data may be shared with service providers (Supabase, Stripe, OpenAI, Vercel) solely to operate the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Specifically, we do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated outputs will be accurate, complete, or suitable for your specific needs
• Use of our tools will result in improved search engine rankings
• The Service will be compatible with all browsers, devices, or operating systems

SEO is inherently unpredictable. Search engine algorithms change frequently, and past performance is not indicative of future results. Our tools provide recommendations based on current best practices, but we cannot guarantee outcomes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEO TOOLKIT AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless SEO Toolkit and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

13. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update these Terms of Service from time to time.

Material changes will be communicated via email or a prominent notice on the website. Continued use of the Service after changes take effect constitutes your acceptance of the revised terms. If you do not agree with any changes, you must stop using the Service and cancel any paid subscription.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may pursue legal remedies in the courts of Romania.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
